CARDAPS Seller Lead Program — Terms & Conditions

1. Seller Lead Program Overview

CARDAPS Technologies Inc. ("CARDAPS", "we", "us") operates the CARDAPS Seller Lead Program ("Program"), which connects vehicle owners ("you", "Seller") with Participating Dealers who may be interested in purchasing your vehicle. By submitting a Seller Lead through the CARDAPS platform (the "Platform"), you agree to these Terms & Conditions. The Program allows you to: (a) Receive a free vehicle valuation estimate based on market data; (b) Submit your vehicle information and contact details to be shared with Participating Dealers in your area; (c) Receive contact from one or more Participating Dealers who may make offers on your vehicle. The valuation provided by CARDAPS is an estimate based on publicly available market data, comparable listings, and algorithmic analysis. It is not a guaranteed purchase price, a certified appraisal, or a binding offer from CARDAPS or any Participating Dealer.

2. How the Program Works

Step 1: You provide vehicle details (year, make, model, trim, VIN, kilometers) and receive a CARDAPS valuation estimate showing an estimated price range. Step 2: You choose to submit a Seller Lead by providing your vehicle's condition details (paint condition, bodywork/mechanical condition, accident history) and your contact information (name, phone, email, postal code). Step 3: CARDAPS shares your submission with one or more Participating Dealers near your location. A Participating Dealer may contact you within 24–48 hours (business days) to discuss your vehicle and potentially arrange an in-person inspection. Step 4: Any transaction between you and a Participating Dealer is between you and that dealer directly. CARDAPS is not a party to any sale, trade-in, or other transaction. Your Seller Lead submission expires 14 days after submission. After expiry, your information will no longer be actively shared with new Participating Dealers, though dealers who have already received your lead may still contact you.

3. Participating Dealers

A Participating Dealer is a licensed motor vehicle dealer who has registered with CARDAPS and subscribes to receive Seller Leads through the Program. Participating Dealers are independently owned and operated businesses. They are not owned by, operated by, affiliated with, or acting on behalf of CARDAPS. Participating Dealers pay a fee to CARDAPS to receive Seller Leads. The existence of this fee does not create any agency, partnership, or employment relationship between CARDAPS and any Participating Dealer. CARDAPS does not guarantee that: (a) Any Participating Dealer will contact you; (b) Any Participating Dealer will make an offer on your vehicle; (c) Any offer will match or exceed the CARDAPS valuation estimate; (d) Any Participating Dealer will complete a transaction with you. CARDAPS expressly disclaims any liability resulting from a Participating Dealer's decision to adjust, revoke, or decline to honour any offer made to you.

4. Accurate Information Provided by You

You represent and warrant that all information you provide through the Program is accurate, complete, and truthful. This includes: (a) Vehicle information: year, make, model, trim, VIN, kilometers; (b) Condition information: paint condition, bodywork/mechanical condition, accident history; (c) Contact information: your legal name, phone number, email address, and postal code. If any information you provide is false, incomplete, or misleading, your Seller Lead may be immediately invalidated. A Participating Dealer who inspects your vehicle and finds that it does not match the condition described may decrease or withdraw any offer previously communicated. You understand that the CARDAPS valuation estimate is based on the information you provide and on available market data. Inaccurate input information will result in an inaccurate estimate.

5. Program Requirements

To participate in the Program, you must meet all of the following requirements: (a) Vehicle location: Your vehicle must be located in the Canadian province indicated by your postal code at the time of submission. (b) Ownership: You must be the registered owner of the vehicle, or must have legal authority to sell it (e.g., power of attorney, estate representative). You will need to provide valid vehicle registration and either clear title or full documentation regarding any outstanding liens or lease obligations. (c) Identification: You must possess a valid driver's license or government-issued photo identification. (d) Not a dealer: You must not be an automobile dealer or otherwise engaged in the business of purchasing, leasing, or selling vehicles. This Program is for private individuals only. (e) Frequency limit: You may submit a maximum of 3 vehicles through the Program in any 6-month period. (f) Age of majority: You must be the age of majority in your province of residence (18 in Alberta, Manitoba, Ontario, Prince Edward Island, Quebec, and Saskatchewan; 19 in all other provinces and territories).

6. Vehicle Restrictions

Not all vehicles are eligible for the Program. CARDAPS and/or Participating Dealers may decline submissions for vehicles including, without limitation: (a) Vehicles older than 13 model years (currently, vehicles manufactured before 2013); (b) Vehicles with more than 250,000 kilometers on the odometer; (c) Vehicles with an estimated value below $1,000 CAD; (d) Vehicles with an estimated value above $85,000 CAD (may require additional inspection); (e) Current model year or newer vehicles; (f) Exotic, luxury, or specialty vehicles at CARDAPS's or a Participating Dealer's discretion; (g) Commercial vehicles, taxis, rental vehicles, fleet vehicles, police or fire vehicles; (h) Salvage, reconstructed, or written-off vehicles; (i) Vehicles without a valid Vehicle Identification Number (VIN); (j) Vehicles not originally manufactured for the Canadian market, or imported outside official manufacturer channels ("grey market" vehicles); (k) Vehicles with altered drivetrains, bodies, or non-functioning/illegal emissions equipment; (l) Vehicles registered at an auto auction or offered through wholesale channels within the preceding 45 days; (m) Vehicles with excessive structural rust or frame/unibody corrosion; (n) Vehicles subject to an active, unresolved safety recall classified as Class I (serious risk of injury or death) by Transport Canada, unless the recall repair has been completed. You can check your vehicle's recall status at cardaps.ca/recall-check.

7. Mandatory Verification Inspection

Any Participating Dealer who contacts you may require a mandatory vehicle inspection before making or confirming an offer. This inspection is provided free of charge to you and may include: (a) Visual inspection of paint, bodywork, interior, and mechanical components; (b) Paint thickness measurements; (c) Road test; (d) Review of vehicle history reports (including Carfax, ClearVin, or equivalent); (e) Verification of odometer reading and VIN; (f) Review of any disclosure statements regarding flood damage, salvage history, or odometer discrepancies. If the inspection results differ from the condition information you provided, the Participating Dealer may adjust or withdraw any offer. CARDAPS is not responsible for any adjustment or withdrawal of offers by Participating Dealers.

9. Privacy and Personal Information

CARDAPS collects, uses, and discloses your personal information in accordance with the CARDAPS Privacy Policy, available at cardaps.ca/privacy, and in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA), Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25 / Bill 64), and all applicable provincial privacy legislation. Personal information collected through the Program includes: (a) Your name, phone number, email address, and postal code; (b) Vehicle details: VIN, year, make, model, trim, kilometers, condition; (c) Consent records and submission timestamps. This information is used to: (a) Provide the CARDAPS valuation estimate; (b) Share your Seller Lead with Participating Dealers in your area; (c) Communicate with you about your submission; (d) Improve our services and algorithms; (e) Comply with legal obligations. Your personal information may be shared with: (a) Participating Dealers in your geographic area (for the purpose of the Program only); (b) Service providers who assist CARDAPS in operating the Platform (e.g., hosting, analytics); (c) Law enforcement or regulatory authorities, if required by law. You have the right to: (a) Access your personal information held by CARDAPS; (b) Request correction of inaccurate information; (c) Request deletion of your information (subject to legal retention requirements); (d) Withdraw consent for marketing communications; (e) File a complaint with the Privacy Commissioner of Canada or the Commission d'accès à l'information du Québec. To exercise any of these rights, contact: privacy@cardaps.ca. Data retention: Seller Lead data is retained for 24 months after submission, after which it is anonymized or deleted. Consent records are retained for 36 months for compliance purposes.

10. Limitation of Liability and Disclaimer

The CARDAPS valuation estimate is provided "as is" and "as available" based on algorithmic analysis of publicly available market data. CARDAPS makes no guarantees, representations, or warranties of any kind, express or implied, regarding: (a) The accuracy, completeness, or reliability of any valuation estimate; (b) The likelihood that a Participating Dealer will contact you or make an offer; (c) The amount of any offer made by a Participating Dealer; (d) The conduct, reliability, or financial standing of any Participating Dealer; (e) The outcome of any transaction between you and a Participating Dealer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARDAPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES (COLLECTIVELY, THE "CARDAPS PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO: (a) YOUR USE OF OR INABILITY TO USE THE PROGRAM; (b) ANY OFFER, TRANSACTION, OR DISPUTE BETWEEN YOU AND A PARTICIPATING DEALER; (c) ANY INACCURACY IN THE VALUATION ESTIMATE; (d) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR PERSONAL INFORMATION; (e) ANY LOSS, DAMAGE, OR EXPENSE RELATED TO THE SALE OR TRADE-IN OF YOUR VEHICLE. In the event of any dispute with a Participating Dealer, you agree to seek your remedy directly with that Participating Dealer and not from the CARDAPS Parties. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or personal injury caused by negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless the CARDAPS Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your breach of these Terms; (b) Any false, inaccurate, or misleading information you provide; (c) Your violation of any applicable law or regulation; (d) Any transaction between you and a Participating Dealer; (e) Any infringement of the intellectual property or other rights of any third party.

12. Quebec-Specific Provisions

For residents of Quebec, the following additional provisions apply: (a) Language: In accordance with the Charter of the French Language (Bill 96), these Terms are available in both English and French. In the event of any discrepancy between the English and French versions, the French version shall prevail for Quebec residents. (b) Consumer Protection: Nothing in these Terms limits or excludes any rights you may have under the Consumer Protection Act (Quebec), including the right to clear and accurate information, the right to withdraw from a transaction within the prescribed time periods, and protection against unfair commercial practices. (c) Privacy: Your personal information is protected under Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25 / Bill 64). You have the right to access, correct, and delete your personal information. CARDAPS has appointed a Privacy Officer responsible for ensuring compliance. Contact: privacy@cardaps.ca. (d) License plates: In Quebec, license plates generally remain with the vehicle during a private sale. Always confirm plate transfer procedures with the SAAQ (Société de l'assurance automobile du Québec) before completing a transaction. (e) Jurisdiction: For Quebec residents, any disputes arising from these Terms or the Program shall be governed by the laws of Quebec and the applicable federal laws of Canada, and shall be heard by the courts of the judicial district of Montreal.

13. Amendments

CARDAPS reserves the right to amend these Terms at any time. Updated Terms will be posted on the Platform at cardaps.ca/seller-lead-terms with the "Last Updated" date revised accordingly. Your continued use of the Program after any amendments constitutes your acceptance of the updated Terms. If we make material changes that affect your rights, we will use reasonable efforts to notify you by email or through the Platform.

14. Governing Law

Except for Quebec residents (see Section 12(e) above), these Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes shall be heard by the courts located in the City of Toronto, Ontario, Canada.
